IMPORTANT NOTICE: BETA SOFTWARE

ehAye™ Engine is pre-release software provided for evaluation and feedback. By launching or using this software, you agree to the following terms.

1. BETA SOFTWARE PROVIDED AS IS

This is experimental software under active development. It may contain defects, limitations, instability, and data-loss risks.

You acknowledge that:

Features may change, malfunction, or be removed without notice
Bugs, instability, and data loss may occur
Performance, accuracy, or reliability are not guaranteed
Beta builds do not represent final quality, performance, or feature guarantees
It is intended for technical users familiar with AI-assisted tools
AI-generated output may contain errors, hallucinations, security vulnerabilities, intellectual property infringement, open-source license contamination, or unintended behaviors

The software is not designed, tested, or intended for production use.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, no warranties are provided, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, reliability, or error-free operation. Use it at your own risk.

2. INTENDED USE AS A DEVELOPER TOOL

ehAye™ Engine is a developer productivity and experimentation tool intended for human-supervised workflows and not for production use.

It is designed for technical users building, testing, and evaluating software and workflows.

It is not intended for:

Production infrastructure
Mission-critical systems
Safety-critical environments
Business-critical automation
Unattended or unsupervised operation

You are solely responsible for determining whether the software is appropriate for your intended use.

The software is designed for human-in-the-loop workflows. Users are expected to review, validate, and approve outputs and actions before use or execution.

3. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Neekware Inc. is not liable for:

Data loss, corruption, or security exposure
Business interruption or reduced productivity
Direct, indirect, incidental, special, exemplary, or consequential damages

In no event shall the total aggregate liability of Neekware Inc. exceed the greater of one hundred Canadian dollars (CAD $100) or the total amount you paid to Neekware Inc. in the twelve (12) months preceding the claim.

Demonstrable billing errors on Neekware-provided LLM access plans are excluded from this cap and will be resolved through Neekware's billing dispute process.

The software is a developer tool and is not intended to be relied upon for operational or production workloads.

You assume full responsibility for reviewing output, securing your system, and maintaining backups.

4. DEVELOPER TOOL NOTICE

ehAye™ Engine is a developer tool comparable to a terminal, code editor, or automation framework. It provides AI-assisted capabilities but does not replace human review, testing, or operational safeguards.

ehAye™ Engine is a developer productivity and experimentation tool intended for human-supervised workflows and not for production use.

ehAye™ Engine:

Interfaces with third-party AI services such as Claude, Gemini, Grok, Codex, Cursor, Copilot, and others
Processes code and commands locally on your system
May generate and execute scripts, commands, automations, or file-system actions based on your input

You are responsible for:

Verifying all AI-generated code, commands, or actions before execution
Configuring permission levels appropriate to your security requirements
Maintaining safeguards and backups
Complying with applicable third-party terms
Understanding the security and automation risks of execution

Functionality that depends on third-party AI services may change or break at any time without notice, and Neekware Inc. has no obligation to maintain compatibility.

5. LLM KEY AND THIRD-PARTY AI RESPONSIBILITY

ehAye Dojo operates primarily as a bring-your-own-LLM-key tool. Neekware Inc. may also offer optional LLM access plans where API usage is provided through Neekware's infrastructure. Regardless of how LLM access is obtained, the following terms apply.

When using your own API key, you must supply, manage, and secure your own API keys and accounts for any third-party AI provider used within ehAye™ Engine. When using a Neekware-provided LLM access plan, usage is subject to the plan terms, usage limits, and fair use policies published by Neekware Inc. LLM access plans are provided on a best-efforts basis with no uptime guarantee, service level agreement, or availability commitment.

Fair use limits for Neekware-provided LLM access plans include but are not limited to: token-per-minute and token-per-day rate limits, concurrent session limits, and prohibitions on automated bulk usage. Specific limits are published with each plan and may be updated at any time.

Neekware Inc.:

Does not control, review, monitor, filter, or validate the accuracy or safety of prompts or outputs from AI services
Does not control third-party availability, pricing, policy changes, rate limits, model behavior, or content restrictions
Does not guarantee that AI-generated output will be accurate, complete, safe, or free from errors

All prompts, files, code, data, or system context you submit through ehAye™ Engine may be transmitted directly to the AI provider you configure or to the provider used by your Neekware LLM access plan.

ehAye™ Engine provides configurable permission modes that allow you to control what actions the AI agent can perform, such as file modifications, command execution, and network access. You are responsible for configuring permission levels appropriate to your security requirements.

You are solely responsible for:

All charges incurred with third-party AI providers (or usage within your Neekware LLM access plan)
Compliance with each provider's terms of service and usage policies
Reviewing, validating, and approving all AI-generated output before use or execution
Any system actions, file modifications, network activity, or automations triggered by AI-generated content
Ensuring that AI-generated output does not infringe third-party intellectual property, reproduce copyleft-licensed code, or contain personally identifiable information

AI-generated output does not constitute professional, legal, medical, or financial advice.

Neekware Inc. is not responsible or liable for any output, decisions, actions, damages, losses, costs, or consequences resulting from the use of AI services, whether accessed through your own API key or a Neekware-provided LLM access plan.

If you do not accept this allocation of responsibility, you must not connect an LLM provider or use Dojo functionality.

6. LIMITED BETA LICENSE

Neekware Inc. may charge for access to beta builds as part of a paid evaluation program.

This license is temporary and revocable. It provides non-exclusive, non-transferable usage rights for evaluation during the beta period.

Key terms:

Beta access is not a permanent or guaranteed license
Future releases may require a separate paid subscription
Beta access may be modified or discontinued at any time
Beta subscribers will receive reasonable advance notice of pricing changes upon general availability
Active subscriptions will complete their current billing cycle at the beta rate before new pricing applies

You may not:

Redistribute, sublicense, or resell the software
Reverse engineer or extract source code
Remove or alter proprietary notices
Claim continued entitlement after beta ends

7. PAID SUBSCRIPTION TERMS DURING BETA

If you obtain a paid subscription during the beta period:

You may cancel at any time
Access remains active until the end of the current billing cycle
No refunds or partial refunds are issued
Feature changes, instability, or beta conditions do not create refund eligibility
Compatibility with any specific AI provider is not guaranteed

If third-party AI providers change their interfaces and functionality is affected, you may cancel and access continues until the current billing period ends. No refunds apply.

Neekware Inc. may modify subscription tiers, pricing, access conditions, or availability.

8. TERMINATION

Neekware Inc. may terminate this license at any time for cause, including but not limited to violation of these terms, the Acceptable Use Policy, or applicable law. Termination for cause includes use of the software as autonomous production infrastructure or in violation of its intended use as a developer tool. Termination for cause is immediate with no refund.

If Neekware Inc. terminates this license for convenience (without cause), active paid subscriptions will remain in effect until the end of the current billing cycle. Unused prepaid LLM access plan credits will be prorated and refunded.

Upon termination, you must stop using the software and delete all copies.

9. ACCEPTANCE

By launching or using ehAye™ Engine, you confirm that you:

Understand the software is in beta
Accept there is no warranty of any kind
Accept full responsibility for all use, execution, and automation
Agree that Neekware Inc. is not liable for any resulting damages

If you do not agree, the app will close and you must uninstall it.

10. THIRD-PARTY ACKNOWLEDGMENTS

Third-party names, tools, and technologies are the property of their respective owners. Their inclusion does not imply affiliation, endorsement, or partnership with Neekware Inc.

11. ACCEPTABLE USE

You may not use ehAye™ Engine or Dojo to:

Generate malware, exploit code, or attack tools
Generate illegal, abusive, harassing, or fraudulent content
Circumvent third-party security controls or access restrictions
Violate applicable laws, regulations, or third-party rights
Engage in automated bulk usage that exceeds fair use limits
Operate the software as autonomous production infrastructure or unattended agents

Violation of this policy constitutes grounds for immediate termination under Section 8.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Neekware Inc., its officers, directors, employees, agents, affiliates, and contractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

Your use of ehAye™ Engine or Dojo
AI-generated output that you execute, deploy, or distribute
Your violation of these terms or the Acceptable Use Policy
Your violation of any applicable law or third-party rights

13. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Exclusive jurisdiction and venue reside in the courts located in Waterloo, Ontario, Canada.

The English version of this document is the only legally binding version. Any translations may be AI-generated, may contain inaccuracies, and are provided solely for convenience.

Your use of ehAye™ Engine is governed by the full Neekware Inc. legal documents, which are incorporated by reference:

15. CHANGES TO THESE TERMS

Neekware Inc. may update or modify these beta terms at any time. Continued use of ehAye™ Engine after changes become effective constitutes acceptance. You are responsible for reviewing these terms periodically.
